    ANONİM ŞİRKETLERDE BORÇLANMA YASAĞINA AYKIRILIK TEŞKİL EDEN FİİLLERİN CEZAÎ SONUÇLARI*

    Anonim şirketlerde borçlanma yasağı (TTK m. 358, 395/2), 6102 sayılı(yeni) Türk Ticaret Kanununun öngördüğü önemli yeniliklerden biridir.Yasağa ilişkin düzenlemeleri ihlâl eden fiiller için TTK m. 562de özel bircezaî yaptırım hükme bağlanmıştır. Fakat bu düzenlemeleri doğrudan ihlâletmemesine rağmen hukuka aykırı olarak değerlendirilebilecek borçlanmaişlemlerinin de güveni kötüye kullanma suçuna (TCK m. 155) nedenolabileceği, Kanun koyucu tarafından açıkça ifade edilmiştir. İşte buçalışmada, TTK m. 562de öngörülen cezai yaptırım ile güveni kötüyekullanma suçu, anonim şirkete borçlanma yasağına aykırılık teşkil edenfiiller çerçevesinde ve çeşitli açılardan ele alınacaktır.
