Started in 2003 with 21 students, the Atılım University School of Law has so far graduated over 1700 students, and currently offers education for more than 1300 students. With the aim stressed by our Founding Dean Prof. Dr. Nami Çağan, we grant students with the background that allows them to access and evaluate information, rather than overloading them with information dumps during our education and training in the field of law. With a curriculum prepared with this approach and our mission in mind, we aim to graduate our students as actual legal experts who have internalized ethical rules, who are knowledgeable in terms of rules and institutions; and who are cultured, versatile, broad-visioned and inquisitive. In addition to basic courses in law conducted by our academic staff as pioneers of their field with respect to these principles, elective courses are available pursuant to current events such as those in mediation for legal disagreements, law and women, sports law, informatics law, media law and legal English; as well as law clinics to offer effective and interactive education. In addition, graduate and doctorate degree programs, alongside certificate programs such as those to train experts, peace-makers, mediators, and trustees in composition, are underway. A member of the European Law Faculties Association (ELFA), our School offers international relations and events, the Erasmus+ program, national and international fictional court contests, law and art days prepared by our student networks, or career forums in law to collaborate in the personal development of our students.

Abstract

Taşınmaz kavramı, 6102 sayılı Türk Ticaret Kanunu'nda on iki maddede dağınık olarak düzenlemeye konu olmuş olup anonim şirketlerin taşınmaz işlemlerinin bir sistem dâhilinde incelenmesi ve anonim şirketlerde taşınmaz rejiminin belirlenmesi bu Yüksek Lisans Tezi'nin hazırlanmasında temel düşünce olmuştur. Kanun koyucu, anonim şirketlerde, sermayenin korunmasına büyük önem vermektedir. Bu kapsamda, sermayenin korunması ilkesi, kanuna karşı hile ve ilişkili taraf işlemlerinin hüküm ve sonuçları özel olarak düzenlenmiştir. Nitekim anonim şirketler, kendi bağımsız malvarlıkları dolayısıyla sahip oldukları veya olacakları taşınmazlara yönelik işlemlerin tarafı olmaktadır. Ancak, anonim şirketler bakımından, yabancı malvarlığının yönetilmesi ilkesi ile mülkiyet-kontrol ayrılığından kaynaklanan temsil sorunu nedeniyle bu işlemlerin gerçekleştirilmesinde farklı menfaat gruplarının menfaatinin korunması gerekmektedir. Bu bakımdan anonim şirketlerin malvarlığı içerisinde önemli bir yeri olan taşınmazlar, çalışmamız kapsamında kuruluş, faaliyet ve tasfiyesi aşamaları esas alınarak belirtilen ilke ve kurallar çerçevesinde, doktrin ve uygulama açısından değerlendirilmektedir.
The concept of immovable property has been regulated in twelve articles in the Turkish Commercial Code No. 6102. Therefore, examining the immovable property transactions of joint stock companies within a system and determining the immovable property regime in joint stock companies have been the fundamental idea in the preparation of this Master's Thesis. The legislator gives great importance to the protection of capital in joint stock companies. In this context, the principle of capital protection, fraud against the law, etc. are specifically codified. As a matter of fact, joint stock companies are parties to transactions regarding immovable properties included in their independent assets. Therefore, the interests of different interest groups must be protected in joint stock companies. From this point of view, within the scope of our study, immovable properties, which have an important place in the assets of joint stock companies, are evaluated in terms of doctrine and practice, within the framework of the principles and rules specified, based on the stages of establishment, activity, and liquidation.
